1. Introduction
Welcome to Go-Race. These Terms of Service ("Terms") govern your access to and use of the Go-Race platform, including our website, mobile applications, and related services (collectively, the "Service"). The Service is operated by Go-Race Pty Ltd ABN [TBD] ("Go-Race", "we", "us", or "our"), a company incorporated in Australia.
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Service Description
Go-Race is an event management platform that connects cyclists with cycling events. The Service enables:
- Discovery and browsing of cycling events
- Online registration and payment for events
- Digital ticketing and QR code check-in for registered events
- Results tracking and performance grading
- Integration with third-party services including membership management, activity tracking, and payment processing
- Event management tools for clubs and organizers
We act as a platform connecting event organizers with participants. We are not the organizer of events listed on our platform unless explicitly stated otherwise.
3. User Accounts and Eligibility
3.1 Account Creation
To access certain features of the Service, you must create an account. You may register using:
- Email and password
- Social login providers (Google, Facebook, Apple)
- Third-party integrations (TidyHQ, Strava, Garmin)
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Eligibility
You must be at least 13 years old to create an account. If you are under 18 years old, you must have parental or guardian consent to use the Service and enter events. Parents or guardians who create accounts on behalf of minors are responsible for all activities conducted through such accounts.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Event Registration and Participation
4.1 Registration
When you register for an event through the Service, you are entering into a contract with the event organizer. We facilitate this transaction but are not a party to it. Event organizers are solely responsible for the conduct of their events.
4.2 Eligibility Requirements
Certain events may have specific eligibility requirements, including but not limited to:
- Membership in specific clubs or organizations
- Performance grade or ranking thresholds
- Age or category restrictions
- Medical or fitness certifications
You are responsible for ensuring you meet all eligibility requirements before registering for an event. Failure to meet eligibility requirements may result in entry denial or removal without refund.
4.3 Waivers and Consents
Registration for events may require you to accept event-specific waivers, indemnities, and terms set by the event organizer. These are separate agreements between you and the event organizer and are not governed by these Terms.
4.4 Event Changes
Event organizers may modify, postpone, or cancel events. In such cases, the organizer's refund and compensation policies apply. We are not responsible for event changes, cancellations, or associated refunds unless we are the event organizer.
5. Payment Terms
5.1 Pricing
Event registration fees are set by event organizers. All prices are displayed in Australian Dollars (AUD) unless otherwise stated and include GST where applicable.
5.2 Payment Processing
Payments are processed through Stripe, a third-party payment processor. By making a payment, you agree to Stripe's terms of service. We do not store your complete credit card information.
5.3 Platform Fees
We may charge service fees for facilitating event registrations. These fees will be clearly disclosed before you complete your registration.
5.4 Taxes
You are responsible for any taxes applicable to your use of the Service or event registrations. Event fees may include GST as required by Australian law.
6. Cancellations and Refunds
6.1 User-Initiated Cancellations
Refund eligibility for event registrations is determined by the event organizer's cancellation policy, which will be displayed during the registration process. We process refunds on behalf of organizers but do not control their refund policies.
6.2 Platform Service Fees
Platform service fees are generally non-refundable unless required by law or at our sole discretion.
6.3 Processing Time
Approved refunds will be processed within 14 business days. The time for funds to appear in your account depends on your financial institution.
7. User Conduct
You agree not to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit any harmful, offensive, or inappropriate content
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers
- Use automated systems to access the Service without permission
- Impersonate any person or entity
- Register for events you do not intend to attend or are ineligible for
- Resell tickets or registrations without organizer permission
8. Intellectual Property
8.1 Our Content
The Service and its content, features, and functionality are owned by Go-Race and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.
8.2 User Content
You may upload content such as profile information, photos, and event reviews. You retain ownership of content you upload but grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Service.
8.3 Event Photography and Results
By participating in events, you acknowledge that event photos, videos, and results (including your name, finish time, and grade) may be published on the Service and shared with third parties. Event organizers control the publication of event-specific media.
9. Third-Party Integrations
The Service integrates with third-party services including:
- TidyHQ: Membership management and verification
- Strava & Garmin: Activity tracking and authentication
- Stripe: Payment processing
- Google, Facebook, Apple: Social login
Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.
10. Disclaimers and Limitation of Liability
10.1 Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2 Event Participation Risks
CYCLING IS AN INHERENTLY DANGEROUS ACTIVITY THAT CARRIES RISKS OF INJURY OR DEATH. WE ARE NOT RESPONSIBLE FOR ANY INJURIES, DAMAGES, OR LOSSES ARISING FROM YOUR PARTICIPATION IN EVENTS LISTED ON THE SERVICE. YOU PARTICIPATE IN EVENTS AT YOUR OWN RISK.
10.3 Third-Party Actions
We are not responsible for the actions, content, or services of event organizers, other users, or third-party service providers. We do not endorse or guarantee the safety, quality, or legality of events listed on the Service.
10.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GO-RACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR ONE HUNDRED AUSTRALIAN DOLLARS (AUD $100), WHICHEVER IS GREATER.
10.5 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, term, condition, right, or remedy implied or imposed by the Competition and Consumer Act 2010 (Cth) or any other applicable law that cannot lawfully be excluded, restricted, or modified.
11. Indemnification
You agree to indemnify, defend, and hold harmless Go-Race, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your participation in events
- Content you upload or submit
12. Privacy and Data Protection
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.
We comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles in our handling of personal information.
13. Account Termination
13.1 Termination by You
You may close your account at any time through your account settings. Closing your account does not automatically cancel event registrations or entitle you to refunds.
13.2 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violations of these Terms. Upon termination, your right to use the Service will immediately cease.
13.3 Effect of Termination
Upon termination, you remain responsible for any outstanding obligations, and the indemnification, limitation of liability, and dispute resolution provisions of these Terms will survive.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of the State of Victoria, Australia, without regard to its conflict of law provisions.
15.2 Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts located in Victoria, Australia, to resolve any dispute arising from these Terms or your use of the Service.
15.3 Informal Resolution
Before initiating legal proceedings, we encourage you to contact us to seek an informal resolution of any disputes.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Go-Race regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
16.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
